1. Acceptance of these Terms
These Terms of Service govern your access to and use of Razor Dispatch, including its mobile applications, websites, services, and related features. By creating an account or using Razor Dispatch, you agree to these Terms and our Privacy Policy.
You must be at least 18 years old and legally able to enter into a binding agreement. If you use Razor Dispatch for a company, you represent that you are authorized to bind that company.
2. The Razor Dispatch platform
Razor Dispatch provides technology that helps drivers and dispatchers coordinate loads, routes, status updates, documents, and related transportation activities. Razor Dispatch is not a motor carrier, freight broker, employer, insurer, or party to transportation agreements made between users unless expressly stated in a separate written agreement.
Users are responsible for evaluating counterparties, agreeing to load terms, and complying with all laws and industry requirements that apply to their work.
3. Accounts and verification
You must provide accurate, current, and complete information, keep your credentials secure, and promptly update information that changes. You are responsible for activity under your account.
Registration requires acceptance of these Terms and the Privacy Policy and successful verification of your phone number by SMS. Administrative badges or verification indicators are not guarantees of identity, licensing, safety, reliability, or performance.
4. Driver and dispatcher responsibilities
You are solely responsible for:
- maintaining required licenses, registrations, permits, insurance, equipment, and operating authority;
- complying with safety, hours-of-service, recordkeeping, cargo, employment, tax, and transportation laws;
- confirming load details, rates, routes, pickup and delivery requirements, and counterparty authority; and
- the accuracy and legality of information, messages, documents, and location updates you submit.
5. Acceptable use
You may not misuse Razor Dispatch. Prohibited conduct includes:
- fraud, impersonation, harassment, discrimination, or unlawful activity;
- posting false, misleading, infringing, malicious, or unsafe content;
- interfering with platform security or attempting unauthorized access;
- scraping, reverse engineering, reselling, or using the service to build a competing product except where law permits; and
- using the platform while driving or in any manner that creates a safety risk.
6. Location, communications, and third-party services
Some features use device location, maps, notifications, SMS, or services supplied by third parties. Routes and estimated times are informational only. Follow road signs, laws, weather advisories, vehicle restrictions, and safe-driving practices.
You consent to receive transactional messages needed to operate and secure your account, including phone-verification codes. Message and data rates may apply. Transactional consent is not consent to marketing.
7. Content and intellectual property
Razor Dispatch and its software, branding, and original content are protected by intellectual-property laws. We grant you a limited, revocable, nonexclusive, nontransferable license to use the service for its intended business purpose.
You retain ownership of content you submit. You grant Razor Dispatch a worldwide, nonexclusive license to host, process, reproduce, and display that content as needed to provide, secure, improve, and support the service.
8. Suspension and termination
You may stop using Razor Dispatch at any time. We may restrict or terminate access when reasonably necessary to protect users or the platform, investigate suspected violations, comply with law, or address nonpayment or material breach.
Terms that by their nature should survive termination—including ownership, disclaimers, liability limits, and dispute provisions—will survive.
9. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAZOR DISPATCH IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE LOAD AVAILABILITY, USER PERFORMANCE, CONTINUOUS OPERATION, OR THE ACCURACY OF THIRD-PARTY DATA.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAZOR DISPATCH AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, PERSONAL INJURY, PROPERTY DAMAGE, OR TRANSPORTATION LOSSES ARISING FROM THE SERVICE OR USER TRANSACTIONS.
Where liability cannot be excluded, aggregate liability will not exceed the greater of amounts you paid Razor Dispatch during the six months before the event giving rise to the claim or one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain exclusions, so portions of this section may not apply.
11. Changes and contact
We may update these Terms. We will post the updated version and effective date and, when required, provide additional notice or request renewed consent. Continued use after an update takes effect constitutes acceptance where permitted by law.
